Terms of Use

This agreement ("Terms") is between you ("User", "Freelancer") and JUG Software Ltda. ("JUG", "we", "us"). By clicking "Create account", accessing or using Juggler, you confirm that you have read, understood and agree to these Terms. If you do not agree, do not create an account or use the Platform.

If you are accepting these Terms on behalf of a company or organization, you represent that you have authority to bind that entity.

1. Overview

Juggler (the "Platform") is a freelancer profile network connected to the jug ecosystem. It allows professionals to create and maintain profiles with their skills, availability, hourly rate and portfolio, and be found by workspaces that use the jug project management platform. These Terms govern access to and use of Juggler and related services.

2. Registration and Account

To use Juggler, the User must provide a name, valid email address and password; alternatively, the User may sign in using a Google account ("Sign in with Google"). When using Sign in with Google, the User authorizes JUG to receive from Google the name, email address and profile picture associated with the chosen Google account, and is also subject to Google's terms and privacy policy. The User is responsible for keeping credentials (and/or the linked Google account) confidential and must notify us immediately if they become aware of unauthorized access to their account. All activity under the account is the User's responsibility. The same User account may be used in both Juggler and jug; an internal signup-source field records which application the User registered with first.

3. Freelancer Profile

3.1 Profile Information

The User is responsible for the content of their profile, including skills, description, hourly rate, availability and links. Information must be accurate, truthful and up to date. The User must not include misleading, offensive content or content that violates third-party rights.

3.2 Profile Visibility

The User may set their profile as public or private. Private profiles are restricted to jug workspaces with an active invite. Public profiles are visible to anyone with the link, may be indexed by search engines (Google, Bing and similar) and shown with a preview (image, title and description) when shared on social networks and messaging apps. The User may toggle visibility at any time; after switching from public to private, search engines may keep the content in cache for some time before reindexing.

3.3 Minimum Age

Juggler is not intended for anyone under 18. By creating an account, the User declares they are at least 18 years old.

3.4 Workspace Invites (Contact Requests)

jug workspaces may send invites directly to the User proposing a project engagement, with a free-form message, role, permission, hourly rate and suggested start date. Each invite expires automatically 14 days after being sent and may also be canceled by the workspace before the User responds. The User may accept or decline the invite and, on declining, optionally provide a reason that will be visible to the sending workspace. By accepting an invite, the User automatically becomes a member of that workspace on jug with the proposed role and permission, and the User's basic identification data (name and email) becomes accessible to the other members of that workspace. JUG does not verify the truthfulness of the proposals sent by workspaces nor of the User's responses, and is not a party to any financial or contractual negotiation arising from the invite.

4. Permitted Use and Restrictions

4.1 License

Subject to these Terms, we grant the User a non-exclusive, non-transferable, worldwide license to access and use Juggler for the purpose of creating and maintaining a professional freelancer profile.

4.2 Restrictions

Except as expressly permitted, the User must not (and must not allow anyone else to):

  • Create multiple profiles for the same professional
  • Include false, misleading or inaccurate information about your experience
  • Use Juggler for advertising, spam or self-promotion unrelated to your professional activity
  • Use the profile to advertise illegal, fraudulent, adult, discriminatory or offensive services or content
  • Accept workspace invites with the deliberate intention of not delivering the agreed work
  • Collect, copy or process data of other Users or workspaces obtained through the Platform for purposes unrelated to the received invite
  • Reverse engineer, decompile or disassemble the software
  • Circumvent security mechanisms or usage limits
  • Send malicious content, viruses or harmful code
  • Use the Platform for unlawful purposes or in violation of third-party rights
  • Attempt to access accounts, data or systems without authorization
  • Remove or alter proprietary notices, trademarks or attributions

5. Free Service

5.1 Free Sign-up and Profile

Juggler is free for freelancers. We do not charge monthly fees, registration fees, commissions on closed projects or any other form of compensation for using the Platform.

5.2 Changes to Conditions

If we decide in the future to offer paid features, we will notify Users at least 30 days in advance by email and within the Platform. The use of basic profile creation and maintenance features will remain free.

6. Account Cancellation and Closure

6.1 Cancellation by User

The User may delete their account at any time through profile settings. After deletion, personal data will be removed as described in the Privacy Policy.

6.2 Termination for Cause

We may suspend or close the User's account if a violation of these Terms, fraudulent activity or conduct harmful to the Platform or its community is identified.

7. Content and Ownership

7.1 User Content

The User retains full ownership of all profile content. By publishing information on Juggler, the User grants JUG a non-exclusive license to display and distribute that content solely for the purpose of operating the Platform.

7.2 JUG Intellectual Property

Juggler, including its design, source code, interface, trademarks and logos, is owned exclusively by JUG Software Ltda. or its licensors. No intellectual property rights are transferred to the User. Except for the use rights granted in these Terms, no additional license is granted.

7.3 Feedback

If the User provides suggestions, ideas or feedback about the Platform, JUG may use them without restriction or obligation.

8. Availability and Support

8.1 Availability

We use commercially reasonable efforts to keep Juggler available and functional. However, we do not guarantee uninterrupted availability and may perform scheduled maintenance. We will give reasonable advance notice of planned downtime.

8.2 Support

We provide support by email for questions about the Platform. Support is available on business days; response times may vary depending on complexity.

9. Warranties and Disclaimers

9.1 Disclaimer for Projects, Payments and Truthfulness

Juggler is a connection platform between freelancers and workspaces. We are not a party to any negotiations, contracts or payments between freelancers and workspaces and we do not guarantee that the User will receive invites, projects or any remuneration from using the Platform. We do not verify the truthfulness of the information published by Users on their profiles (such as skills, experience, hourly rate or portfolio) nor of proposals sent by workspaces (message, role, permission, hourly rate or start date). It is the responsibility of the User and the workspace to perform their own due diligence before accepting any engagement.

9.2 Disclaimer of Warranties

Except as expressly stated, Juggler is provided "as is". We make no other warranties, express or implied, including fitness for a particular purpose or non-infringement.

10. Limitation of Liability

10.1 Exclusion of Damages

To the maximum extent permitted by applicable law, JUG will not be liable for indirect, incidental, special, consequential or punitive damages, including loss of business opportunities, lost profits or business interruption, even if advised of the possibility.

10.2 Liability Cap

JUG's total liability under these Terms is limited to the maximum extent permitted by applicable law.

11. Changes to the Terms

We may update these Terms periodically. We will notify Users of material changes by email or in-app notice at least 30 days in advance. If the User disagrees, they may close their account as described in section 6.

12. General Provisions

12.1 Governing Law and Venue (Brazil)

These Terms are governed by the laws of the Federative Republic of Brazil. Venue is the court of the User's domicile for any disputes, in accordance with Article 101(I) of the Brazilian Consumer Protection Code (CDC).

12.2 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between the parties and supersede any prior agreements or understandings.

12.3 Severability

If any provision is held invalid or unenforceable, it will be limited to the minimum extent necessary, and the remainder will remain in full force and effect.

12.4 Survival

The following sections survive account closure: 3.4 (Workspace Invites — with respect to invites already accepted), 4.2 (Restrictions), 7 (Content and Ownership), 9 (Warranties and Disclaimers), 10 (Limitation of Liability) and 12 (General Provisions).

14. Definitions

  • "Platform" — Juggler, the SaaS freelancer profile network software, including all features, APIs and interfaces.
  • "User / Freelancer" — the individual who accepts these Terms and creates a profile on Juggler.
  • "Workspace" — a team or company that uses the jug project management platform and may search for freelancers on Juggler.
  • "Profile" — the set of professional information published by the User on Juggler, including skills, availability, hourly rate and portfolio.
  • "Project Invite" — a Workspace Contact Request sent by a workspace to the User, containing a message, proposed role, permission, hourly rate and start date, with a default 14-day expiration.
  • "jug" — JUG's project management platform, to which Juggler is connected and with which it shares the same User base.
  • "Sign in with Google" — an optional authentication flow that uses the User's Google account, in which JUG receives the name, email and profile picture associated with that account.
